Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Menture Inc. ("Company," "we," "us," or "our"), including our website at menture.ai and the Menture platform (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

2. Description of Service

Menture provides AI-powered business intelligence and profit optimization tools designed to help business owners and their teams identify financial opportunities, track performance, and execute on growth strategies. The Service connects to your QuickBooks Online and/or Xero accounting software via their official OAuth 2.0 APIs. The Service is intended for use by businesses and accounting professionals.

3. User Accounts

3.1 Registration

To use the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining confidentiality of your credentials and for all activity under your account.

3.2 Account Security

You agree to notify us immediately of any unauthorized account access. We are not liable for loss from unauthorized use of your credentials. Do not share login credentials with third parties.

3.3 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into these Terms. By agreeing, you represent that you meet these requirements.

4. Third-Party Integrations — QuickBooks Online and Xero

4.1 Authorization

The Service integrates with QuickBooks Online (Intuit Inc.) and Xero (Xero Limited) via OAuth 2.0 APIs. By connecting your account, you authorize us to access your accounting data in accordance with the scopes you approve during the OAuth authorization process.

4.2 Scope of Access

We access only the minimum data necessary to provide the Service. We do not access, store, or process any QuickBooks or Xero data beyond the scopes you have authorized. You may revoke access at any time without affecting non-integrated features of the Service.

4.3 Third-Party Terms

Your use of QuickBooks Online is subject to Intuit's Terms of Service. Your use of Xero is subject to Xero's Terms of Use. We are not responsible for the practices of Intuit or Xero.

4.4 Data Accuracy

The Service relies on data from QuickBooks Online and Xero. We are not responsible for inaccuracies originating from those platforms. You are responsible for maintaining accurate records in your accounting software.

4.5 Integration Availability

QuickBooks Online and Xero integrations depend on the availability of their respective APIs, which are outside our control. We will endeavor to notify users of material changes or prolonged outages.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law or regulation
• Access or attempt to access another user's account or data without authorization
• Transmit malicious code, viruses, or harmful data
• Interfere with or disrupt the Service or its infrastructure
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Build a competing product or benchmark without our written consent
• Use automated tools (bots, scrapers) to access the Service except as expressly permitted
• Circumvent authentication or security measures

6. Intellectual Property

The Service and its original content, features, and functionality are the exclusive property of Menture Inc. and its licensors. You retain full ownership of all data you import from QuickBooks Online or Xero. By using the Service, you grant us a limited, non-exclusive, royalty-free license to access, process, and display your data solely to provide the Service.

7. Fees and Payment

Fees for paid features are described at menture.ai/pricing. All fees are in USD and are non-refundable except as required by law. We will provide at least 30 days notice before any fee increases.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MENTURE INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING, LEGAL, OR FINANCIAL ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTURE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT EQUAL TO FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $6,000 USD.

10. Indemnification

You agree to defend, indemnify, and hold harmless Menture Inc. and its officers, directors, and employees from any claims, liabilities, or expenses arising from: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any third-party right; or (d) any claim that your data caused harm to a third party.

11. Termination

We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or if your use poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. Provisions that by nature survive termination shall do so. You may terminate your account at any time by contacting us.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada. Any unresolved dispute shall be submitted to binding arbitration in Toronto, Ontario, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days notice before material changes by posting updates on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
